Terms of Service

These terms govern your use of Topout, operated by 11point.dev in Toronto, Ontario. By creating an account or using the service, you agree to these terms.

1. Account

You are responsible for keeping your account credentials secure and for activity under your account. Organization owners are responsible for the actions of users they invite.

2. Acceptable use

Don't use Topout to break the law, infringe on others' rights, send spam, interfere with the service's operation, or attempt to access data that isn't yours. Don't reverse-engineer or resell the service.

3. Subscription and billing

Paid subscriptions renew automatically at the cadence you select. You can cancel any time from your billing settings; cancellation takes effect at the end of the current billing period. Apprentice accounts are free and have no billing.

4. Your content

You own the records you create in Topout — invoices, RFIs, documents, time entries, apprentice hours. We need a limited license to host and process them so we can operate the service for you. You can export your data at any time.

5. Termination

You can close your account any time. We can suspend or terminate accounts that violate these terms or that pose a security or legal risk. After termination, your data stays available for export for a reasonable period before deletion.

6. Disclaimers and liability

Topout drafts documents but does not provide legal advice. You are responsible for reviewing every outgoing document — invoices, Notices of Non-Payment, change orders — before sending. To the maximum extent permitted by law, our liability for any claim arising from your use of the service is limited to the fees you paid in the 12 months preceding the claim.

7. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Disputes are subject to the exclusive jurisdiction of the Ontario courts.
